[JUST EAT Campus Chompionship (the “Contest”)]

ENTRY TO THIS CONTEST IS OPEN TO RESIDENTS OF CANADA ONLY WHO CURRENTLY ATTEND ONE OF THE ELIGIBLE UNIVERSITIES LISTED BELOW AND ARE AT LEAST THE AGE OF MAJORITY IN THEIR PROVINCE (OR HAVE CONSENT OF THEIR PARENT OR LEGAL GUARDIAN). ENTRY IS ONLINE ONLY AS DESCRIBED BELOW. INTERNET ACCESS & VALID FACEBOOK ACCOUNT IS REQUIRED TO ENTER. NO PURCHASE NECESSARY.

1. ELIGIBILITY

Contestant Eligibility Criteria

Entry to this Contest (each entrant meeting the criteria below, a “Contestant”) is open only to residents of Canada who currently attend one of the following Universities:

Capilano University, Carleton University, Concordia University, Dalhousie University, McGill University, McMaster University, Queen's University, Ryerson University, Simon Fraser University, St. Mary's University, University of Alberta, University of British Columbia, University of Calgary, University of Guelph, University of Manitoba, University of Ottawa, University of Regina, University of Saskatchewan, University of Toronto, University of Victoria, University of Waterloo, University of Windsor, Western University , Wilfrid Laurier University, York University (the “Eligible Universities”),

who are at least the age of majority in their province of residence (or have the consent of their parent or legal guardian), and excludes Just Eat Canada Inc. (“JUST EAT” or the “Contest Sponsor”) and its affiliated companies, employees, representatives, dealers, contractors, agents, Contest suppliers, and each of their immediate family members (defined as parents, siblings, spouses and children, regardless of where they reside), and those with whom they are domiciled (whether related or not) (the “Contestant Eligibility Criteria”).

Voter Eligibility Criteria

Voting in this Contest (applicable to Round 1 - Call for Entries) (each voter meeting the criteria below, a “Voter”) is open only to residents of Canada who are at least the age of majority in their province of residence, and excludes Just Eat and its affiliated companies, employees, representatives, dealers, contractors, agents, Contest suppliers, and each of their immediate family members (defined as parents, siblings, spouses and children, regardless of where they reside), and those with whom they are domiciled (whether related or not) (the “Voter Eligibility Criteria”).

2. CONTEST PERIOD

The Contest begins on September 17, 2013 at 9:00:01 AM (EST) and ends on October 28, 2013 at 16:59:59 (the “Contest Period”). The Contest will comprise 3 rounds, an overview of which is set out in the table below (capitalized terms used in the table below have the meaning set forth elsewhere in these Official Contest Rules):

  • 25 Semi-Finalists create and submit Semi-Finalist Video Entries via YouTube before deadline of October 9, 2013 at 16:59:59 PM (EST)
  • Each Semi-Finalist will receive the Semi-Finalist Prize of a $200 CAD JUST EAT voucher upon submission of Semi-Finalist Video Entry
  • Semi-Finalist Video Entries are posted on the Contest Microsite starting from October 11, 2013
  • The 5 Semi-Finalists with the highest scoring videos (as judged by a JUST EAT judging panel) will each be selected as one of 5 Finalists and move onto Round 3 - Om Nom Nom; the Finalists will be contacted on or around October 17, 2013
Round 3 - Om Nom Nom October 23, 2013 at 9:00:00* AM (EST) October 28, 2013 at 11:59:59* PM (EST)
  • Five (5) Finalists will each receive the Finalist Prize of a JUST EAT-sponsored trip for them and a companion to the Final Event in Toronto on October 28, 2013
  • Each Finalist will compete against the other four (4) finalists in an Eating Competition at the Final Event to determine the JUST EAT Campus Chompion
  • The Campus Chompion will win the Grand Prize, comprising an Individual Grand Prize of a $5,000 CAD cheque and a Campus Grand Prize of $20,000 CAD worth of various prizes for his or her university

* JUST EAT's website administrator's computer is the official time-keeping device for this Contest.

3. HOW TO ENTER AND WIN THE CONTEST

(A) Round One - Call for Entries

Entering the Contest

To enter the Contest, visit www.chompchompchomp.ca (the “Contest Microsite”) between September 17, 2013 at 9:00:01 AM (EST) and October 1, 2013 at 16:59:59 PM (EST) (the “Round 1 Contest Period”). Click on the “Hungry? Enter the Chompionship Here” tab and then complete the simple entry form (the “Contest Entry Form”) and thereby create a Contestant profile that will be displayed on the Contest Microsite (the “Contestant Profile”). All Contestants must be currently attending one of the Eligible Universities listed in Section 1 above, meet the other Contestant Eligibility Criteria, and have access to the Internet and a valid Facebook account.

By submitting a Contest Entry Form, each Contestant represents and warrants that they have read, understood and agree to be bound by these Official Contest Rules. In particular and without limitation, each Contestant (i) confirms compliance with the Official Contest Rules, (ii) releases JUST EAT from any liability in connection with the Contest (including relating to use of the Contestant Voucher (as described below)), (iii) assigns all intellectual property in, and indemnifies the Contest Sponsor against any claims relating to, any entry or other materials submitted in connection with the Contest (including the Contest Entry Form and Contestant Profile), and (iv) agrees to the publication and use of the Contestant's name, statements, likeness and other information and materials submitted in connection with the Contest, in any publicity carried out by the Contest Sponsor. See Section 9 below for more information.

After the Contest Entry Form and Contestant Profile have been successfully completed and submitted, the Contestant Profile will be moderated and approved by the Contest Sponsor before it is made visible on “The Stomachs” page of the Contest Microsite. If the Contest Sponsor determines in its sole and absolute discretion that the Contest Entry Form or Contestant Profile contains any inappropriate language or images (e.g. profanity, racial slurs, nudity, etc.), the Contest Entry Form will be rejected at the moderation stage of the contest and the Contestant Profile will not appear on the Contest Microsite.

Contestant Voucher

Each of the first 500 Contestants who submits a fully and properly completed Contest Entry Form during the Round 1 Contest Period will receive a JUST EAT voucher code valued at $10 CAD to be used toward a takeout or delivery order at www.just-eat.ca (a “Contestant Voucher”). Each Contestant may only obtain a maximum of one Contestant Voucher during the Contest Period. A maximum of 500 Contestant Vouchers will be issued in total during the Contest Period. See Section 6 below for the terms and conditions applicable to the use of Contestant Vouchers.

Selecting the Semi-Finalists

After the Contest Entry Form and Contestant Profile have been successfully submitted and accepted by the Contest Sponsor and the Contestant Profile is visible on the Contest Microsite, the Contestant Profile will be eligible for voting by Voters.

The one (1) Contestant from each Eligible University whose Contestant Profiles receive the highest number of votes (“Votes”) during the Round 1 Contest Period (compared to all other Contestants from the same Eligible University) will be selected as a semi-finalist (a “Semi-Finalist”) and be eligible to proceed to Round Two - Video Showdown. A total of twenty-five (25) Semi-Finalists will therefore be selected. Odds of being selected as a Semi-Finalist depend on the number and calibre of all Contestants, Contest Entry Forms and Contestant Profiles.

JUST EAT will make three (3) attempts to contact each Semi-Finalist by telephone or email (using the information provided on the Contest Entry Form) between October 2, 2013 and October 3, 2013. JUST EAT will also email each Semi-Finalist a declaration, waiver, release and publicity consent (the “Semi-Finalist Declaration and Release”), in which the Semi-Finalist will among other things: (i) confirm compliance with the Official Contest Rules, (ii) confirm that their Semi-Finalist Video Entry (as described in Section 3(B) below) will comply with the content guidelines set forth in YouTube's Terms of Service and Community Guidelines, (iii) release JUST EAT from any liability in connection with the Contest (including relating to use of the Semi-Finalist Prize (as described in Section 3(B) below) and Semi-Finalist Video Entry), (iv) assign all intellectual property in, and indemnify the Contest Sponsor against any claims relating to, any materials submitted in connection with the Contest (including the Semi-Finalist Video Entry), and (v) agree to the publication and use of the Contestant's name, statements, likeness and other information and materials submitted in any publicity carried out by the Contest Sponsor. Each Semi-Finalist must sign and return by email the Semi-Finalist Declaration and Release within 24 hours of receipt.

If the Semi-Finalist cannot be contacted within three (3) attempts or one (1) business day (whichever occurs first), or there is a return of any notification as undeliverable, or the Semi-Finalist does not return a completed and signed Semi-Finalist Declaration and Release within 24 hours, then he/she will be disqualified (and will forfeit all rights to be a Semi-Finalist), and the Contest Sponsor reserves the right, in its sole and absolute discretion (but does not have any obligation), to select an alternate Semi-Finalist. The alternate Semi-Finalist will be the Contestant from the same Eligible University who has received the next highest number of eligible Votes during Round 1 - Call for Entries (the foregoing provisions of this paragraph shall apply to such alternate Semi-Finalist).

(B) Round Two - Video Showdown

Submitting a Video

Each Semi-Finalist will be required to create and submit a video (the “Semi-Finalist Video Entry”) by October 9, 2013 at 16:59:59 PM (EST) (the “Video Entry Submission Deadline”). Each Semi-Finalist Video Entry should be designed to address the judging criteria set forth below, must be under sixty (60) seconds in length and must also comply with the content guidelines set forth in YouTube's Terms of Service (http://www.youtube.com/t/terms) and Community Guidelines (http://www.youtube.com/t/community_guidelines?gl=CA).
Each Semi-Finalist Video Entry must be submitted to JUST EAT by posting it onto YouTube and e-mailing the link to amy.lin@just-eat.ca by the Video Entry Submission Deadline. A Semi-Finalist Video Entry will not be considered submitted until it is acknowledged in writing by a JUST EAT employee.

The Semi-Finalist Video Entries will be posted on the Contest Microsite on or around October 11, 2013 on the page titled “Semi-Finalists”.

Semi-Finalist Prize

Each Semi-Finalist who successfully submits a Semi-Finalist Video Entry before the Video Entry Submission Deadline will receive a voucher code valued at two hundred dollars CAD ($200 CAD) to be used toward a take-out or delivery order at www.just-eat.ca (the “Semi-Finalist Prize”). Please see Sections 5(A) and 6 below for the terms and conditions applicable to the Semi-Finalist Prize.

Selecting the Finalists

A panel of Contest judges (the “Contest Judges”, who are further described in Section 7 below) will review, judge and score each of the twenty-five (25) Semi-Finalist Video Entries based on the following criteria and scoring system:

JUST EAT Spirit - Show us how you embody the JE brand, extra points for wearing a Mr. Mozzarella moustache… 0-30 points
Innovative Use of Takeaway - How can you incorporate your JUST EAT take-out or delivery order into your video (you don't think we gave you those JUST EAT vouchers just to be nice did you? (Insert evil laugh here) 0-20 points
Total Score 100 points

Each Semi-Finalist Video Entry will be given a score (out of a possible total of 100 points) (the “Score”) by the Contest Judges (acting in their sole and absolute discretion). The five (5) Semi-Finalists whose Semi-Finalist Video Entries receive the highest scores will be selected as finalists (the “Finalists”) and be eligible to proceed to Round 3 - Om Nom Nom. In the event of a tie between two or more Semi-Finalist Video Entries based on total Score, the Semi-Finalist whose video has the highest score for the criteria titled “Why You? - Tell us why you should compete against the other finalists and eat alongside the great Kobayashi, give us your best argument in the most creative way possible! ” will be selected as a Finalist.  Odds of being selected as a Finalist depend on the number and calibre of Semi-Finalist Video Entries received during Round 2 - Video Showdown.

JUST EAT will make three (3) attempts to contact each Finalist by telephone or email (using the information provided on the Contest Entry Form) on or around October 17, 2013. JUST EAT will also email each Finalist a declaration, waiver, release and publicity consent (the “Finalist Declaration and Release”), in which the Finalist will among other things: (i) confirm compliance with the Official Contest Rules, (ii) release JUST EAT from any liability in connection with the Contest (including relating to use of the prize and participation in the Final Event (as described in Section 3(C) below)), (iii) assign all intellectual property in, and indemnify the Contest Sponsor against any claims relating to, any materials submitted in connection with the Contest, and (iv) agree to the publication and use of the Contestant's name, statements, likeness and other information and materials submitted in any publicity carried out by the Contest Sponsor (including in any recording of the Final Event). Each Finalist must sign and return by email the Finalist Declaration and Release within 24 hours of receipt.

If the Finalist cannot be contacted within three (3) attempts or one (1) business day (whichever occurs first), or there is a return of any notification as undeliverable, or the Finalist does not return a completed and signed Finalist Declaration and Release within 24 hours, then he/she will be disqualified (and will forfeit all rights to be a Finalist), and the Contest Sponsor reserves the right, in its sole and absolute discretion (but does not have any obligation), to select an alternate Finalist. The alternate Finalist will be the Semi-Finalist who has received the next highest Score during Round 2 - Video Showdown (the foregoing provisions of this paragraph shall apply to such alternate Finalist).

(C) Round 3 - On Nom Nom

The Final Event

The five (5) Contest Finalists will be eligible to participate in Round 3 - On Nom Nom to compete for the Grand Prize and the title of JUST EAT Campus Chompion. Each Finalist will be able to select a companion to travel with them to Toronto on or about October 27, 2013 to October 29, 2013, to compete in an eating competition at the final event in Toronto on October 28, 2013 (the “Final Event”).

Finalist Prize

Each Finalist will win a trip for himself or herself and a companion to the Final Event (the “Finalist Prize”). Please see Section 5(B) below for further details regarding, and the terms and conditions applicable to, the Finalist Prize.

Selecting the JUST EAT Campus Chompion

At the Final Event on October 28, 2013, all five (5) Contest Finalists will compete in a food eating challenge (the “Eating Competition”). Competitive eater Takeru Kobayashi will eat alongside the Contest Finalists, but will not be eligible to win the title of JUST EAT Campus Chompion. The title will go to the Finalist who is the official winner of the Final Event Eating Competition by consuming the highest number of square cheese pizza slices in a span of three (3) minutes as compared to the other Finalists (see Section 8 below for the Eating Competition rules).

Grand Prize

The JUST EAT Campus Chompion will win five thousand dollars CAD ($5000) for himself or herself and various prizes with a total approximate retail value of twenty thousand dollars CAD ($20,000) for his or her university (together, the “Grand Prize”). See Section 5(C) below for further details regarding, and the terms and conditions applicable to, the Grand Prize.

4. HOW TO VOTE (APPLICABLE TO ROUND 1 - CALL FOR ENTRIES)

Voting on a Contestant Profile

Voters meeting the Voter Eligibility Criteria described in Section 1 above may vote (each a “Vote”) on Contestant Profiles in Round 1 - Call for Entries. For a Vote to be eligible, it must be received during the Round 1 Contest Period.

Limit of one Vote, per Voter, per day during the Round 1 Contest Period. A day is defined as the period from 00:00:01 am EST to 11:59:59 pm EST. If the Contest Sponsor determines in its sole and absolute discretion that attempts were made to: (i) vote more than once per person per day (defined as 00:00:01 am EST to 11:59:59 pm EST); (ii) use any automated, script, macro or robotic program(s) to submit Votes; or (iii) engage in systematic voting from the same computer/IP address; then it may result in the disqualification, in the sole and absolute discretion of the Contest Sponsor, of the relevant Voters and/or Votes.

To cast a Vote, go to the Contest Microsite during the Round 1 Contest Period and click on “The Stomaches” button at the top of the Homepage. When on “The Stomaches” page either:

  • A) Hover over a Contestant Profile until the “vote” button appears over the profile you would like to select, then click “vote”;
  • OR
  • Select the profile picture to expand the Contestant Profile and when you are ready to make your selection, cast your vote by clicking on the “vote” button on the bottom of the Contestant Profile.

By submitting a Vote, each Voter represents and warrants that they have read, understood and agree to be bound by these Official Contest Rules. In particular and without limitation, each Contestant (i) confirms compliance with the Official Contest Rules, (ii) releases JUST EAT from any liability in connection with the Contest (including relating to use of the Voter Voucher (as described below)), (iii) assigns all intellectual property in, and indemnifies the Contest Sponsor against any claims relating to, any entry or other materials submitted in connection with the Contest, and (iv) agrees to the publication and use of the Voter's name, statements, likeness and other information and materials submitted in connection with the Contest, in any publicity carried out by the Contest Sponsor. See Section 9 for more information.

Voter Voucher

Each of the first 5,000 Voters who submits a Vote for the Contest will be provided with a voucher code valued at $5 CAD to be used toward a takeout or delivery order at www.just-eat.ca (each a “Voter Voucher”) upon submitting their first vote. Each Voter may only obtain a maximum of one Voter Voucher during the Contest Period. A maximum of 5,000 Voter Vouchers will be issued in total during the Contest Period. Please see Section 6 below for the terms and conditions applicable to the use of each Voter Voucher.

5. CONTEST PRIZES

There will be thirty-one (31) Contest prizes (each a “Prize” and together the “Prizes”) in total available to be won, as described below.

(A) SEMI-FINALIST PRIZES

Twenty-five (25) Semi-Finalist Prizes are available to be won, each consisting of a JUST EAT voucher valued at two-hundred dollars CAD ($200 CAD). Please see Section 6 below for the terms and conditions applicable to use of each JUST EAT voucher.

Approximate retail prize value of each Semi-Finalist Prize is two-hundred dollars CAD ($200) CAD.

(B) FINALIST PRIZES

Five (5) Finalist Prizes are available to be won, each consisting of a trip for each of the Contest Finalists and one (1) companion to the Final Event in Toronto, ON, Canada. Each Finalist Prize will include:

  1. A total of two (2) return economy airfare tickets from the international airport closest to the Finalist's place of residence to Pearson International Airport in Toronto, ON
  2. Transportation from the airport to the hotel upon arrival in Toronto, and from the hotel to the airport at the end of their stay, for the Finalist and their companion
  3. Two (2) nights in a standard double occupancy hotel room in Toronto, ON for the Finalist and their companion to share. The reservation at the hotel will be for the nights of October 27 and October 28, 2013

Note: The choice of airline, hotel and mode of Toronto airport-hotel return transportation will be at the sole and absolute discretion of the Contest Sponsor, and all the relevant bookings will be made by the Contest Sponsor. It will be the responsibility of the Finalist to arrange and pay for return transportation between their place of residence and the international airport closest to their place of residence.

Approximate retail prize value of each Finalist Prize is one thousand, two-hundred dollars CAD ($1,200) CAD.

(C) GRAND PRIZE

One (1) Grand Prize is available to be won by the Campus Chompion for himself/herself and for his/her university, consisting of the following two parts:

  1. Individual Grand Priz - a cheque for five thousand dollars CAD ($5,000) CAD awarded to the Contest Finalist who is successfully named the JUST EAT Campus Chompion. Approximate retail prize value of the Individual Grand Prize is five thousand dollars CAD ($5,000) CAD.
  2. Campus Grand Prize - a selection of prizes with a total approximate retail value of twenty thousand dollars CAD ($20,000), which will be distributed by a JUST EAT branded truck on or around the Campus Chompion's university campus over five (5) days, currently expected to be five (5) consecutive days during the month of November 2013 (subject to change for logistical reasons). The prizes will be distributed on days and times of the day and in an order as solely determine by the Contest Sponsor. The location of the truck on campus and the days/times when the prizes will be distributed will be announced via JUST EAT's social media channels. Prizes will be available on a “first-come-first-served” basis to students at the relevant university only, be limited to one prize per person and JUST EAT will be entitled to use its reasonable discretion when determining the order and method of distribution. Approximate retail prize value of the Campus Grand Prize is twenty thousand dollars CAD ($20,000) CAD.

Total approximate retail prize value of the Grand Prize is twenty-five thousand dollars CAD ($25,000) CAD.

6. VOUCHER TERMS

The following terms apply to use of each JUST EAT voucher (a “Voucher”), whether awarded as part of a Contestant Voucher, Voter Voucher, Semi-Finalist Prize or Grand Campus Prize (if applicable):

  1. the voucher may only be redeemed on the JUST EAT website (www.JUST-EAT.ca) towards online orders from delivery and take-out restaurants on JUST EATs platform;
  2. the voucher must be applied to a registered Just Eat online customer account by no later than the end of the month in which it was given by entering the relevant voucher code, and will expire if not applied by this date.  If the Voucher is applied before the expiry date, the customer account will be credited by the relevant amount and the credit will expire after 30 days;
  3. if the order value is less than the voucher value that has been credited to the customer account, no change or cash will be given.  However, any balance will be left as a credit in the customer account, and may be redeemed against subsequent orders;
  4. if the order value is more than the voucher value that has been credited to the customer account, the remaining balance must be paid online using a credit card;
  5. vouchers and voucher codes are only valid for one use.  Once the voucher code has been used (whether in an authorized or unauthorised manner), the voucher code will be void.  Voucher recipients are responsible for ensuring that their voucher codes are not used by someone else;
  6. vouchers may not be used in conjunction with other JUST EAT discounts or promotions provided or advertised from time to time;
  7. vouchers may not be exchanged for cash;
  8. all standard terms and conditions from time to time for use of Just Eat vouchers and the Just Eat website apply (see http://www.just-eat.ca/privacy-policy).

7. CONTEST JUDGES

The Contest judging panel for Round 2 - Video Showdown will be composed of the following five (5) Contest Judges:

1. Takeru Kobayashi - Japanese competitive eater. He holds several records, including four Guinness Records, for eating hot dogs, meatballs, Twinkies, hamburgers, and pasta.

2. Mr. Mozzarella (The Mozz) - The star of JUST EAT's Don't Cook, JUST EAT campaign

3. Luke S - Marketing Director at JUST EAT Canada

4. Heather S - Consumer Marketing Manager at JUST EAT Canada

5. Meghan B - Design Manager at JUST EAT Canada

The Contest Sponsor reserves the right, in its sole and absolute discretion, to change any or all of the Contest Judges without notice.

8. EATING COMPETITION RULES

At the Final Event on October 28, 2013, all five (5) Contest Finalists will compete in the Eating Competition. Takeru Kobayashi will eat alongside the Contest Finalists, but will not be eligible to win the title of JUST EAT Campus Chompion. The title and Grand Prize will go to the Finalist who is the official winner of the Final Event Eating Competition by consuming the highest number of square cheese pizza slices in a span of three (3) minutes as compared to the other Finalists.

The following rules shall apply to the Eating Competition:

(A) Finalists must stay on the raised platform at all times
(B) Finalists must not interfere with any other Finalists in any way during the Eating Competition
(C) Finalists may have any much water as they request during the Eating Competition
(D) A designated scorekeeper will be assigned to each Finalist and will flip a score board after each pizza slice is successfully consumed (in the Finalist's mouth); the designated Scorekeeper's count will be verified by the on-site judge(s)
(E) Partially-eaten pizza slices count for half a point only if at least half of the total mass of the slice is consumed
(F) Pizza slices in the mouth at the end of the regulation count, only if they are subsequently swallowed within a period of 30 seconds after the clock runs out
(G) Vomiting during the Eating Competition or at any time before the JUST EAT Campus Chompion is officially announced will result in disqualification
(H) The decision of the on-site judge(s) (to be appointed by JUST EAT in its sole discretion) on all matters regarding the Eating Competition, including application of these rules, will be final.

9. PRIVACY/ PERSONAL INFORMATION / GENERAL TERMS

(A) By entering or voting in this Contest, Contestants and Voters consent to the use of the personal information provided to JUST EAT and its agents, in accordance with JUST EAT's Privacy Policy and as described in these Official Contest Rules, for the purpose of administering this Contest. No other use and no disclosure of personal information (including marketing communications) will be made unless Contestants or Voters provide JUST EAT with explicit permission to do so as indicated when placing an order on just-eat.ca. Contestants or Voters may opt-out of any such marketing at any time by emailing JUST EAT at marketing@just-eat.ca, by following any unsubscribe instructions included with a marketing communication, or by contacting JUST EAT as described in JUST EAT's Privacy Policy. (B) All entries and other material (“Entries”) submitted in connection with this Contest (including without limitation any Contest Entry Forms, Contestant Profiles, Semi-Finalist Video Entries and Votes) become the property of JUST EAT. By submitting an Entry, the Contestant grants to JUST EAT an irrevocable, non-exclusive, royalty-free, worldwide license in perpetuity to reproduce, broadcast, communicate, distribute, adapt, modify, create derivative works from, and otherwise use all or any part of the Entry in any media throughout the world, and waives all moral rights in and to the Entry and its accompanying images without further compensation to the Contestant. By accepting a Prize or Voucher, recipients consent to the use of their Entries, name, video, depictions of their place of residence and any images submitted as a part of this Contest, voice, statements, images or other likenesses by JUST EAT for publicity, advertising or informational purposes in any medium or format without further compensation or notice. Contestants and Voters agree to indemnify and hold harmless JUST EAT from and against any claim or action brought by a person whose consent was not obtained by the Contestant or by any person claiming that (i) its intellectual property rights, including without limitation, copyright, moral right (including rights of integrity, attribution and anonymity), trademark rights, or (ii) its personality or privacy rights, are infringed by JUST EAT use or reproduction of a submitted images and/or Entry.

(C) All Entries that are incomplete, illegible, damaged, irregular, have been submitted through illicit means, or do not conform to or satisfy any condition of these Official Contest Rules may be disqualified by JUST EAT. JUST EAT takes no responsibility for lost, stolen, delayed, damaged, misdirected, late or destroyed Entries, or for typographical or other errors. All Entries become the property of JUST EAT and will not be returned.

(D) By entering or voting in this Contest, Contestants and Voters release and hold harmless each of JUST EAT, their advertising and promotional agencies and the Contest Judges, and their affiliates and directors, officers, owners, partners, employees, contractors, agents, dealers, representatives, successors and assigns against, any liability for any injuries, losses or damages of any kind (including direct, indirect, incidental, consequential or punitive damages) to persons or property resulting from: a) any Prize or Voucher, including the acceptance, participation in, misuse or use of any Prize or Voucher; b) entry, voting in or participation in this Contest, including access to and use of the Website, or c) any claims based on personality or privacy rights, defamation or merchandise delivery. Each Prize winner may be required to sign a form of declaration, waiver, release, and publicity consent which, among other things, confirms compliance with the Official Contest Rules and releases JUST EAT from any liability associated with use of the Prize.

(E) Each Contestant and Voter agrees not to defame or disparage JUST EAT, its business, services or employees, whether by way or statement, act or omission, in any media throughout the world (including social media).

(F) JUST EAT assumes no responsibility for failure of the Internet or the Website during the Contest Period, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any email or traffic congestion on the internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer related to or resulting from playing or downloading any material in the Contest. JUST EAT reserves the right, subject to the approval of the Régie des alcools, des courses et des jeux (the "Régie"), to cancel, terminate, modify or suspend the Contest, in whole or in part, and may select an entrant from among all eligible entries received prior to the cancellation, should a virus, bug or any other cause beyond their reasonable control corrupt the security or proper administration of the Contest. Any attempt to deliberately damage any website associated with this Contest or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws. Should such an attempt be made, JUST EAT reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

(G) If the identity of a Contestant or Voter is disputed, the authorized account holder of the e-mail address submitted at the time of entry or voting will be deemed to be the Contestant or Voter, as the case may be. The individual assigned to the e-mail address for the domain associated with the submitted e-mail address is considered the authorized account holder. A selected Contestant or Voter may be required to provide proof that he/she is the authorized account holder of the e-mail address associated with the selected entry or vote. All entries and votes must be submitted from a valid e-mail account. The sole determinant of time for the purposes of receipt of a valid entry or vote in this Contest will be JUST EAT's server machine(s).

(H) Any failure by JUST EAT to enforce any provision of these Official Contest Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Official Contest Rules shall not affect the validity or enforceability of any other provision. If any provision of the Official Contest Rules is determined to be invalid or otherwise unenforceable, then the Official Contest Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

(I) In the event a Contestant or Voter wins a Prize or is awarded a Voucher, and is later found to be in violation of these Official Contest Rules, he/she will be required to forfeit the Prize or Voucher and/or to reimburse JUST EAT for the stated value of the Prize or Voucher if such violation is discovered after the recipient has used the Prize or voucher.

(J) JUST EAT reserves the right to correct any typographical, printing, computer programming or operator errors.

(K) This Contest is subject to all applicable federal, provincial and municipal laws and regulations.

(L) By entering, voting or participating in this Contest, Contestants and Voters represent and warrant that they have read, understood and agree to be bound by these Official Contest Rules.

10. QUEBEC RESIDENTS

For Quebec residents, any litigation respecting the conduct or organizing of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a Prize or Voucher may be submitted to the Régie only for the purpose of helping the parties to reach a settlement.
